Business Services: Incorporation
While a corporation may be recognized by the state upon filing Articles of Incorporation, there are a number of requirements for a valid corporation. The result of a failure to meet these requirements may only become apparent upon involvement in a lawsuit or tax audit, an attempted transfer of the business, the death of a shareholder or another event involving an examination of the corporation’s records. This result may be a complete disregard of the corporate entity.
My flat rate for incorporation includes preparing the articles of incorporation, the by-laws, the minutes and resolutions necessary to begin the corporation, the stock certificates and a letter to you covering general rules about the legal formalities for small corporations. I also file the appropriate initial papers with the Secretary of State.
Related services which are also available include registering with the IRS as a Subchapter S corporation and preparing a Buy-Sell Agreement between the shareholders, which specifies the terms upon which a shareholder will sell or transfer his or her stock.
